GWIN Inc. Signs Letter of Intent to Enter International Online Poker Business

5/19/2005 1:04:01 PM

LAS VEGAS, May 19, 2005 -- GWIN Inc. (GWNI) Chairman & CEO, Wayne Root, announced today that GWIN has signed a Letter of Intent with Live Cast Media, LLC ("LCM"), to enter the online poker business by capitalizing on the brand name Wayne Allyn Root ("WAR"). According to the terms of the Letter of Intent, LCM will create, support and operate at least two poker Web sites: WARPoker.com and WARPoker.net. WARPoker.com will be focused internationally, specifically at the Asian and European markets and those localities that allow online poker playing. WARPoker.com will not accept play from U.S. citizens or from citizens in any countries or localities where such play is prohibited. LCM has a strong history of marketing to the Asian and European markets, and feels confident that utilizing Root's personality and recognition as "America's Handicapper" and "The Face of Las Vegas Gambling" will create a powerful image attractive to an international audience. WARPoker.net will be a non-rake model for fun & prizes only and will be available for play in all localities where it is legal. This non-rake business model has been enjoying great success and increasing popularity in the United States, where online gambling is considered illegal. The parties believe that the Wayne Allyn Root name, and the promotional support that GWIN will be able to provide utilizing its database of gamblers and its various media properties, including "Wayne Allyn Root's WinningEDGE(TM)" television and radio shows, and www.winningedge.com Web site will provide a strong user base. Subject to completion of a definitive agreement, the Letter of Intent calls for GWIN to receive 50% of the profits of the WARPoker.net site and 25% of the profits from the WARPoker.com site.

GWIN Chairman Root said, "I've spent 19 years now on American television building my image, credibility, name recognition and growing the WAR name as a brand. Now is the time to capitalize by branding WARPoker.net as the site to play for fun and prizes here in the U.S. market. Poker has become one of the most popular forms of gambling and poker shows have become among the most popular shows on television from "World Poker Tour" on Travel Channel to "World Series of Poker" on ESPN, to "Celebrity Poker Showdown" on Bravo. It is clear that many, if not most of my sports gambling audience have become poker players -- whether serious or just for fun. I believe that my name and brand can have an impact on poker with a payoff as large, or even larger than it has for sports handicapping advice. GWIN is in the perfect position to capitalize on the success of poker, because of the large number of sports gamblers who are poker players and already familiar with the WAR name. With GWIN's ability to piggyback WARPoker.net advertising on top of its existing media properties and the advertising dollars GWIN already spends each fall aimed at sports gamblers, it's a perfect fit, making all of our advertising dollars much more cost-effective."

Said David Mitchell, director of Live Cast Media, "We are extremely excited about the opportunity to develop, market and support Wayne Allyn Root (WAR) poker sites. Poker has become a phenomenon and incredible profit generator, not only in the United States, but around the world. The key to capturing a portion of these profits is through the astute use of brand awareness and marketing. The Wayne Allyn Root name and GWIN's media properties, advertising and marketing exposure are powerful tools for attracting audiences to both WARPoker.net and WARPoker.com, not only in the United States, but worldwide. Across the globe, Las Vegas is considered the mecca of the gambling world. We are confident that given the opportunity to promote 'Wayne Allyn Root, The Face of Las Vegas Gambling' throughout our affiliates in Asia and Europe that WARPoker.com can quickly become one of the world's major poker sites."
